Fujifilm Buys Control of Xerox, Jacobson to Lead New Company

Xerox Corp (NYSE:XRX) shares jumped almost 5 percent in the after-hours trading session on Tuesday following reports that Japan-based Fujifilm Holdings Corp.is about to make an agreement to buy more than 50 percent shares of Xerox. The new company, which will have a combined revenue of $18 billion, will keep the dual moniker as well as its pair of corporate headquarters in both Tokyo and CT.

Xerox shareholders will receive a $2.5 billion cash dividend, or approximately $9.80 per share as part of the deal, alongside a 49.9 percent stake in the joint venture at closing.

Reuters reports the new combined company, which will be known as New Fuji Xerox, will become a subsidiary of Fujifilm, with dual headquarters in the United States and Japan, and listed in NY.




Patrick Leone, founder and CEO of Bloomington, Ind. -based MidAmerica Technology and developer of the SignMe app, said he thinks the addition of Fuji or another potential buyer would be an exciting component Xerox's go-to-market model.

Combination of R&D, acquirement and different operations would empower Fuji Xerox to convey at any rate $1.7 billion (generally Rs. 10,807 crores) in complete cost reserve funds by 2022, the two organizations said.

The companies said they intend to expand in lucrative business areas such as high-speed inkjet commercial and industrial printing, using Fujifilm's technologies. Komori will serve as chairman of the board. "It's going to be a big year for apps and partners building on Xerox's app platform".

At the end of the transaction, the shareholders of Xerox would hold slightly less than half of the new entity, according to WSJ, citing sources close to the case.
